Welcome to Lucidus, an online platform designed to help schools, students and parents explore careers through interactive experiences and personalised insights and assessments ("Platform"). These Terms of Use ("Terms") govern access to and use of the Platform by schools, their staff, study abroad agencies, individual counsellors, parents and students (collectively, "User"). Lucidus may be accessed either (a) through a School that subscribes to the Platform on behalf of its students ("Institutional Subscription"), (b) directly by a parent or lawful guardian who subscribes on behalf of their child ("Individual Subscription"), or (c) by Study Abroad Agencies and Independent Counsellors ("Professional Subscription"). By accessing or using Lucidus, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are a school, agency, counsellor or educator, you represent and confirm that you have the authority to accept these Terms on behalf of your institution and to bind it to these Terms. If you are a parent or guardian, you represent that you are the lawful parent or guardian of the Student and are at least 18 years of age.
1. Introduction
The Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and are published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, that require publishing the rules and regulations, privacy policy and user agreement of access or usage of a website. Here, the website means https://mylucidus.com.
This electronic record is generated by a computer system and does not require any physical or digital signatures.
2. Who We Are
Lucidus AI Edventures Private Limited ("Lucidus", "we", "us", "our"), a company incorporated under the Companies Act, 2013, having its registered office at 4-72-5, Revenue Ward 7, Lawsons Bay Colony - MVP, M.V.P. Colony, Visakhapatnam (Urban), Visakhapatnam – 530017, Andhra Pradesh, India, provides an online career exploration platform for schools, study abroad agencies, individual counsellors and students in Grades 8–12 (typically ages 13–18).
3. Definitions
- "Applicable Law" means all statutes, enactments, ordinances, rules, regulations, notifications, circulars, guidelines, directions and orders of any governmental, statutory or regulatory authority in India, as in force from time to time.
- "Account" means a registered account created by a User to access and use the Platform.
- "Content" means all text, graphics, software, micro-experiences, simulations, reports, and other materials made available on the Platform.
- "Free Plan" means the version of the Services made available without payment and with such features and limitations as may be specified by Lucidus from time to time. Lucidus does not ask for any payment details from the User in a Free Plan.
- "Institution" or "School" means the school or institution that registers for and administers access to the Platform under an Institutional Subscription.
- "Parent" means the parent or lawful guardian of a Student user who registers for and manages an Individual Subscription.
- "Paid Subscription" means any subscription plan offered by Lucidus for a fee, including monthly, quarterly, annual or any other subscription plans introduced from time to time.
- "Professional Subscriber" means a Study Abroad Agency or Independent Counsellor those registers for and/or purchases a Professional Subscription for the purpose of providing or facilitating access to the Services to its students or clients.
- "Student" means a student who accesses the Platform through a School-managed account, Study Abroad Agency or Independent Counsellor-managed account or a Parent-managed Individual Subscription.
- "Services" means all services, features, functionalities and offerings made available through the Platform, including career exploration, assessments, counselling, reports and related educational services.
- "Subscriber" means (i) in case of the Institutional Subscription, the School; (ii) in the case of an Individual Subscription, the parent or lawful guardian of a Student; and (iii) in the case of Professional Subscription, Professional Subscribers, who in either case registers for the Services, accepts the Terms and is liable for payment of the Subscription Fee, and the expressions "you" and "your" shall be construed accordingly.
- "Subscription Fee" means the fee payable for the subscription plan as notified on the Website or otherwise agreed between the relevant Subscriber and Lucidus, at the time of subscription or renewal.
- "Subscription Period" means the duration of a Paid Subscription selected by the User at the time of purchase.
- "Personal Data" and "Child" shall have the meanings assigned to them under the Digital Personal Data Protection Act, 2023 ("DPDP Act").
4. Acceptance of Terms
4.1. These Terms constitute a legally binding agreement between Lucidus and the Subscriber.
4.2. By:
- creating an Account;
- accessing the Platform;
- subscribing to the Services;
- permitting a student to access the Platform; or
- otherwise using the Platform,
you agree to be bound by these Terms.
4.3. If you are a Parent accessing the Platform on behalf of a Child, you confirm that:
- you are the Parent or lawful guardian of such Child;
- you have authority to provide information relating to such Child;
- you consent to such Child's use of the Platform; and
- you have reviewed these Terms and the Privacy Policy.
4.4. If you are accessing the Platform on behalf of an Institution, you represent and warrant that:
- you are authorised to accept these Terms on behalf of the Institution;
- the Institution agrees to be bound by these Terms; and
- the Institution shall ensure compliance with Applicable Law in relation to its use of the Platform.
4.5. If you are accessing the Platform on behalf of a Professional Subscriber, you represent and warrant that:
- you are authorised to accept these Terms on behalf of the Professional Subscriber;
- the Professional Subscriber agrees to be bound by these Terms;
- the Professional Subscriber shall use and distribute access to the Services only in accordance with the applicable Professional Subscription; and
- the Professional Subscriber shall ensure compliance with Applicable Law in relation to its use and distribution of the Services.
4.6. In the event you do not agree to the Terms, you shall not access or use the Services.
5. Who May Use Lucidus
5.1. Schools and Staff (Institutional Subscription) Schools act as the primary account holders and administrators of the Platform for their students. Schools are responsible for designating authorised staff to manage student accounts.
5.2. Parents (Individual Subscription) A Parent or lawful guardian may register directly with Lucidus and subscribe on behalf of their child without the involvement of a School or a Professional Subscriber. In such cases, the Parent shall be the account holder and shall be responsible for the account, subscription and compliance with these Terms.
5.3. Professional Subscribers (Professional Subscription) A Professional Subscriber may register directly with Lucidus and subscribe to the Platform for the purpose of providing or facilitating access to the Services for its students or clients. In such cases, the Professional Subscriber shall be the account holder and shall be responsible for the account, subscription, authorised users and compliance with these Terms.
5.4. End Users of Professional Subscribers A Professional Subscriber shall ensure that each Student, Parent or other Authorised User to whom it provides or facilitates access to the Services is informed of and accepts the applicable provisions of these Terms and the Privacy Policy before such access is enabled, to the extent required under Applicable Law.
5.5. Students Students may access the Services only through a School-managed account, a Professional Subscriber-managed account or a Parent-managed Individual Subscription. Students shall not independently register for the Services, accept these Terms or provide any payment instrument. Lucidus reserves the right to suspend or terminate any account created in violation of this Clause.
5.6. Age and Consent Where access to the Services is through an Institutional Subscription or a Professional Subscription, the School or the Professional Subscriber shall be responsible for obtaining and maintaining all parental or guardian consents required under Applicable Law before creating a Student account, and Lucidus may require the School or the Professional Subscriber to furnish evidence of such consent upon request. Where access is through an Individual Subscription, the Parent's registration of the Student and acceptance of these Terms shall constitute confirmation that such consent has been obtained.
5.7. Verification Lucidus shall be entitled to verify the identity of the Subscriber, the age of the Student and the relationship between the Subscriber and the Student, by such means as are prescribed under the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025, and Lucidus shall be entitled to withhold, restrict or suspend access to the Services pending completion of such verification.
5.8. Lucidus reserves the right to refuse registration, restrict access or suspend any Account where:
- the eligibility requirements under these Terms are not satisfied;
- inaccurate information has been provided;
- access is being used in violation of applicable law; or
- such action is reasonably necessary to protect the security, integrity or reputation of the Platform.
6. Accounts and Access
6.1. As a User of this Platform, you may be required to register an account with us. You are responsible for safeguarding your account details, including your password. You are liable for all activities that occur under your account. You agree, inter alia, to provide true, accurate, current and complete information about yourself as prompted by the Lucidus Platform, and to maintain and promptly update the registration data to keep it true, accurate, current, and complete at all times.
6.2. If you suspect any security issues with your account, you must notify us immediately. We reserve the right to terminate accounts, edit or remove content, and cancel orders at our discretion.
6.3. Lucidus shall not be liable for any loss or damage arising from your failure to comply with this Clause.
7. License
7.1. Subject to compliance with these Terms and payment of applicable fees, Lucidus grants Users a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Platform solely for their internal educational and personal career exploration purposes.
7.2. In the case of a Professional Subscription, the licence additionally permits the Professional Subscriber, solely to the extent expressly permitted under the applicable Professional Subscription, to provide or facilitate access to the Services to its authorised Users.
7.3. All Content on Lucidus remains the exclusive property of Lucidus AI Edventures Private Limited and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws. No rights are transferred to you except a limited, revocable, non-transferable licence to access and use the Platform for its intended educational purpose.
8. Use of the Platform
8.1. You agree that you will:
- use Lucidus only for educational, non-commercial purposes;
- ensure that Student access is appropriate to their age and is reasonably supervised by the School or the Professional Subscriber or the Parent;
- not copy, reproduce, republish, distribute, transmit, sell, licence, publicly display, adapt, translate or create derivative works from any Content, unless otherwise authorised by Lucidus;
- not resell, sublicense, scrape, or otherwise misuse any part of the Platform or its Content, unless otherwise authorised by Lucidus under a Professional Subscription;
- not reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, algorithms, models or underlying structure of the Services;
- not share, sell, transfer, sublicense or otherwise make available the account credentials or access to the Services to any third party;
- not use, or permit the use of, any Content or output of the Services to train, develop, fine-tune, validate, or benchmark any artificial intelligence or machine learning model, or to build a competing product or service;
- not access the Services by any automated means, including any robot, spider, scraper or data extraction tool, or circumvent any access control, rate limit or paywall;
- not upload or transmit any unlawful, defamatory, obscene, harassing or infringing material through the Platform;
- not interfere with or disrupt the integrity, security or performance of the Services;
- not white-label, rebrand or represent the Platform or Services as being owned, developed or provided by the Subscriber or any third party;
- not use the Platform or any Content or output for the purpose of creating a substantially similar or competing assessment, career guidance or career exploration product by using or relying upon Lucidus's Confidential Information or proprietary materials;
- not use the Platform in a manner that misrepresents the relationship between the Subscriber and Lucidus or suggests that the Subscriber is an agent, partner, franchisee, employee or legal representative of Lucidus, unless expressly authorised by Lucidus in writing;
- not impersonate any person, or misrepresent the identity, age or guardianship of any person; or
- use the Platform in any manner contrary to the Terms or the Applicable Law;
8.2. Lucidus shall be entitled to investigate any suspected contravention of Clause 8.1, and to suspend or terminate access, remove User Content and report the matter to the appropriate authority.
9. Fees and Payment
9.1. Where the Services are subject to payment, the Subscriber shall pay the applicable fees and applicable taxes before accessing or using such Services. Payments made through the Platform are processed by independent third-party payment service providers. Payments are presently processed through Razorpay or such other RBI-authorised payment aggregators as Lucidus may designate from time to time. Lucidus does not store complete card or payment credentials.
9.2. In order to complete any transaction on Our Platform, you may be redirected to a third-party website. Such third-party service providers may also charge you fees to use or access their services and may require your Personal Data to complete any transaction for the Platform. Further, to facilitate completion of your payments to us through the Platform or avail the payment options provided to you, you may be redirected to an external website operated by the third-party service provider. Lucidus cannot and does not (i) guarantee the adequacy of the privacy and security practices employed by or the content and media provided by the third-party service provider or its respective websites or (ii) control collection or use of your Personal Data by such third-party service provider. Hence, prior to using any services offered by a third-party service provider, Lucidus suggests that you read their terms and conditions, privacy policy and other policies that may apply, to understand their terms of usage and to understand how your Personal Data is being processed. Lucidus is not affiliated to any third-party service provider, and neither Lucidus nor any of the third-party service providers are agents or employees of the other.
9.3. Lucidus reserves the right to revise, modify or update the Subscription Fee for any of the Services at its sole discretion. Any revised Subscription Fee shall apply prospectively and shall not affect any subscription period that has already been paid for.
9.4. Auto-renewal
9.4.1. Lucidus may offer an auto-renewal option to the Subscribers for Subscription Periods of:
- twelve (12) months;
- three (3) months;
- any other Subscription Period as notified on the Platform.
9.4.2. By purchasing an auto-renewing subscription, the Subscriber expressly authorises Lucidus and its payment service provider to charge the applicable Subscription Fee, together with applicable taxes, using the payment method selected by the Subscriber at the time of purchase, at the beginning of each renewal term until the subscription is cancelled.
9.4.3. The applicable renewal period shall be identical to the initial subscription period unless otherwise expressly notified.
9.4.4. The Subscriber may cancel automatic renewal at any time before the applicable renewal date through the account settings or by contacting Lucidus' customer support. Cancellation shall take effect from the next renewal cycle and shall not entitle the Subscriber to any refund for the then-current subscription period unless otherwise required under Applicable Law.
9.5. Auto-renewal Consent By selecting an auto-renewing subscription plan during checkout, the Subscriber expressly acknowledges that:
- The subscription will automatically renew unless cancelled before the renewal date;
- The Subscription Fee applicable to the relevant plan shall be automatically charged at each renewal;
- The Subscriber has been informed of the applicable renewal frequency, pricing and cancellation process before completing the purchase.
9.6. Refunds
9.6.1. Subject to this Clause, a Parent purchasing an Individual Subscription may request a refund within seven (7) days from the date of purchase of the relevant Subscription.
9.6.2. Any eligible refund shall be processed in accordance with the refund process communicated by Lucidus and, where applicable, the policies of the relevant payment service provider.
9.6.3. Except as expressly provided under this Clause or required under Applicable Law, Subscription Fees are non-refundable.
9.7. Unless otherwise expressly stated on the Platform or required under Applicable Law, all payments made for the Services are non-refundable. If any applicable fee remains unpaid, or if any payment is declined, reversed or charged back, Lucidus reserves the right to suspend or terminate access to the relevant Services until all outstanding amounts have been paid, and to charge interest on any overdue amount at the rate of 1.5% per month (or the maximum rate permitted under Applicable Law, whichever is lower) from the due date until the date of actual payment.
10. Responsibility for Student Accounts and Authorised User Accounts
10.1. Institutions and Parents shall be responsible for ensuring that Student Accounts are used only by the authorised student.
10.2. Neither an Institution nor a Parent shall knowingly permit any third party to use a Student's Account.
10.3. Professional Subscribers shall be responsible for ensuring that the number of authorised Users accessing the Services does not exceed the number or scope of licences purchased or otherwise authorised under the applicable Professional Subscription.
10.4. Lucidus may monitor and verify Account usage and may suspend or deactivate Accounts that exceed the applicable licence limits or are otherwise used in breach of these Terms.
11. Data Collection, Protection and Privacy
11.1. The collection, use, storage, disclosure, retention and erasure of personal data by Lucidus is governed by the Privacy Policy and the Cookie Policy.
11.2. Lucidus shall process the Personal Data of a Student only upon and in accordance with the verifiable consent of the Subscriber, as required under the Digital Personal Data Protection Act, 2023 and other Applicable Laws.
11.3. Lucidus shall not undertake any tracking or behavioural monitoring of a Student, direct advertising at a Student, or process the Personal Data of a Student in any manner prohibited under the Digital Personal Data Protection Act, 2023 or other applicable data protection laws, including GDPR (General Data Protection Regulation) 2018.
11.4. The Subscriber may withdraw consent to the processing of a Student's Personal Data at any time by contacting Lucidus in accordance with Clause 22.2. Upon such withdrawal, Lucidus may be unable to continue providing the Services, and the relevant subscription may be cancelled in accordance with these Terms. Such withdrawal shall not affect the lawfulness of any processing carried out prior to such withdrawal.
11.5. Third-Party Services: We may use third-party services to facilitate our operations, such as payment processors, analytics providers, or marketing services. These third parties are obligated to protect your information and are only permitted to use it in connection with the services they provide to us. Where any such third-party processes Personal Data outside India, such transfer shall not be to any country or territory restricted by the Central Government and shall be governed by an agreement imposing data protection obligations on the third party no less protective than those undertaken by Lucidus under the Terms of Privacy Policy.
11.6. We do not sell Student, School or Agency data to third parties. Personal Data is collected and used only in accordance with our Privacy Policy and applicable law, including the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the DPDP Act.
11.7. Lucidus shall retain Personal Data only for so long as is necessary to fulfil the purpose for which it was collected, or as otherwise required under the Applicable Law and shall thereafter erase such Personal Data in accordance with the Privacy Policy, save that Lucidus may retain such minimum data and associated logs as are required to be retained under Applicable Law.
12. Intellectual Property Rights
12.1. All intellectual property rights in and to the Services and the Content, including all copyright, trademarks, trade names, designs, patents, know-how and database rights, vest in and shall remain the exclusive property of Lucidus or of its licensors.
12.2. Subject to these Terms, Lucidus grants the Subscriber a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Services and the Content solely for the personal, non-commercial use of the Subscriber and the Student during the subscription period. No right, title or interest in the Services or the Content is granted other than this licence, and all rights not expressly granted are reserved by Lucidus.
12.3. The trademarks, logos and service marks displayed within the Services are the property of Lucidus or their respective owners, and nothing in these Terms grants any right to use them.
12.4. If the Subscriber or the Student provides any suggestions, comments or feedback relating to the Services, Lucidus may use, reproduce and exploit such feedback without restriction, attribution or payment.
12.5. Professional Subscribers shall have no ownership interest in the Platform, Services, Content, assessment methodology, scoring logic, question banks, content library, report formats, databases, algorithms, prompts, system instructions, designs, workflows or other proprietary materials of Lucidus merely by virtue of purchasing or reselling access to the Services.
13. Confidentiality
13.1. The Content, together with all reports, assessment methodologies, algorithms, scoring/recommendation logic, question banks, content library, report structure, algorithms, prompts, system instructions, technical architecture and other proprietary know-how, business and technical information of Lucidus that are not publicly available ("Confidential Information"), shall be treated as confidential by the Subscriber and shall not be disclosed to any third party, other than to the Student for whom the Confidential Information is intended, without the prior written consent of Lucidus.
13.2. This Clause 13 shall not apply to information that is or becomes publicly available other than through breach of these Terms, is independently developed without reference to the Confidential Information, or is required to be disclosed by Applicable Law or by order of a court or regulatory authority, provided that reasonable prior notice is given to Lucidus where legally permissible.
14. Suspension and Termination
14.1. The Subscriber may terminate the Terms at any time by cancelling the subscription and ceasing to use the Services.
14.2. Lucidus shall be entitled to suspend or terminate access to the Services, in whole or in part, with immediate effect and without liability, in the event (i) the Subscriber or the Student contravenes the Terms; (ii) any Subscription Fee remains unpaid; (iii) Lucidus is required to do so under Applicable Law or by order of any court or authority; (iv) Lucidus reasonably believes that continued access presents a risk to the Student, to any other User or to the Services; (v) a Professional Subscriber exceeds the scope or number of licences authorised under its Professional Subscription; or (vi) a Professional Subscriber engages in unauthorised resale, sublicensing or distribution. Lucidus shall give notice of such suspension or termination as soon as reasonably practicable.
14.3. In the event of suspension or termination of a Professional Subscription, the Professional Subscriber shall immediately cease creating, distributing or facilitating any new access to the Services and shall cease all use of Lucidus's Content, Confidential Information and branding, except to the extent expressly permitted by Lucidus in writing.
14.4. Upon termination, the licence granted under Clause 7 shall stand revoked, access to the Services shall cease, and the User Content shall be retained or erased in accordance with the Privacy Policy.
14.5. Cancellation of automatic renewal shall prevent future renewals only. The Subscriber shall continue to have access to the Services until expiry of the then-current paid subscription period.
14.6. Clauses 12, 13, 17, 18, 20 and 22, and any other provision which by its nature is intended to survive, shall survive termination of the Terms.
15. Disclaimer of Warranties
15.1. The Services and the Content are provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, save to the extent that any such warranty may not be excluded under Applicable Law.
15.2. Lucidus does not warrant that the Services shall be uninterrupted, timely, secure or free from error, or that any defect shall be corrected, or that the Services or the servers through which they are made available shall be free from any harmful component.
15.3. Lucidus does not warrant the accuracy, completeness or currency of any Content relating to any career, industry, institution, qualification, examination or occupation. The Content is intended solely for informational and educational career exploration purposes, does not constitute professional, psychological, clinical or career counselling advice, and does not guarantee any particular academic admission, scholarship or career outcome for any Student.
16. Artificial Intelligence
16.1. Subject to Clause 15, certain features of the Services generate output by means of artificial intelligence and machine learning models. Such output may be incomplete, inaccurate, outdated, inconsistent or unsuitable for the Student, and shall be reviewed and verified by the Subscriber before being acted upon.
16.2. Subject to Clause 15, Lucidus does not warrant that any output generated by artificial intelligence shall be accurate, complete, current or free from bias or error and the same shall not be treated as a substitute for professional counselling.
17. Limitation of Liability
17.1. Lucidus shall not be liable to the Subscriber or to the Student for any indirect, incidental, special, punitive, exemplary or consequential loss or damage, or for any loss of profit, loss of revenue, loss of opportunity, loss of educational or career opportunity, loss of reputation or loss of or corruption of data, in each case howsoever arising and whether or not Lucidus was advised of the possibility of such loss.
17.2. The aggregate liability of Lucidus to the Subscriber and the Student, taken together, in respect of all claims arising out of or in connection with the Terms and the Services, whether in contract, tort, under statute or otherwise, shall not exceed the aggregate of the Subscription Fees actually received by Lucidus from the Subscriber during the period of three (3) months immediately preceding the event giving rise to the claim.
18. Indemnity
The Subscriber shall indemnify and hold harmless Lucidus, its directors, officers, employees and agents from and against all claims, demands, proceedings, losses, damages, liabilities, costs and expenses, including reasonable legal costs, arising out of or in connection with (i) any contravention of the Terms by the Subscriber or the Student; (ii) any misrepresentation as to the age of the Student or as to the guardianship of the Subscriber; (iii) any User Content; or (iv) any use of the Services in contravention of Applicable Law.
19. Force Majeure
Lucidus shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond its reasonable control, including acts of God, natural disaster, pandemic, fire, flood, war, civil unrest, strikes, failure of telecommunications or internet infrastructure, failure of any third-party payment or cloud service provider, or any action of a governmental or regulatory authority. Lucidus' obligations shall be suspended for so long as the force majeure event continues.
20. Amendment of the Terms
20.1. Lucidus reserves the right to amend, modify or update these Terms at any time in its sole discretion.
20.2. Any such amendment, modification or update shall become effective upon publication on Lucidus' website or Platform, or upon being otherwise made available to the Subscriber.
20.3. The Subscriber's continued access to or use of the Services following the effective date of any amendment, modification or update shall constitute the Subscriber's acceptance of the revised Terms. Where any such amendment materially affects the manner in which the Personal Data of a Student is processed, Lucidus shall, to the extent required under Applicable Law, seek fresh verifiable consent from the Subscriber before giving effect to such amendment as it relates to that Student.
20.4. In the event of any inconsistency or conflict between different versions of these Terms, the latest version shall prevail unless expressly stated otherwise.
21. Governing Law and Jurisdiction
21.1. The Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of India.
21.2. The parties shall attempt that in the event of their being any dispute between them during your use of the Website or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of the User Agreement, or the documents they incorporate by reference or anything relating to the present Terms, the dispute is settled by mutual discussion. In the event of failure of discussion, the dispute shall be referred to a sole Arbitrator, who shall be an independent and neutral third party appointed by Lucidus. The place of arbitration shall be New Delhi, India. The Arbitration proceedings shall be in the English Language and shall be governed by the Arbitration & Conciliation Act, 1996.
22. General Provisions
22.1. Notices: All notices to the Subscriber shall be sent by e-mail to the e-mail address registered with the account and shall be deemed received upon transmission. The Subscriber shall keep the registered e-mail address current. All notices to Lucidus shall be sent by e-mail to [email protected] and by post to the registered office of Lucidus.
22.2. Customer Support and Grievance Redressal: For queries or complaints relating to billing, payments, refunds, cancellations or subscriptions, you may contact [email protected].
22.3. Severability: In the event any provision of the Terms is held to be invalid, illegal or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
22.4. Assignment: The Subscriber shall not assign or transfer any of its rights or obligations under these Terms without the prior written consent of Lucidus. Lucidus may assign or transfer its rights and obligations under these Terms without the Subscriber's consent.
22.5. Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the Subscriber and Lucidus regarding the Services and supersede all prior or contemporaneous understandings, whether written or oral, relating to the subject matter hereof.
22.6. No Third-Party Rights: These Terms are entered into between Lucidus and the Subscriber only. A Student who accesses the Platform under an Institutional Subscription or an Individual Subscription is not a party to these Terms and shall have no right to enforce, or to bring any claim against Lucidus under, these Terms in their own name. The Subscriber shall be responsible for the Student's compliance with these Terms, and any claim relating to the Student's use of the Platform may be brought only by the Subscriber, and not independently by the Student.
22.7. Waiver: No failure or delay by Lucidus in exercising any right under these Terms shall operate as a waiver of that right, nor shall any single or partial exercise of a right preclude any other or further exercise of that or any other right.
22.8. Relationship of Parties: Nothing in these Terms shall be construed as creating any partnership, agency, joint venture or employment relationship between Lucidus and the Subscriber.
